Article 1 — Definitions and acceptance

"Adjulo" means the service operated by Solutions technologiques Adjulo inc., a company established in Québec City (Québec), Canada.

"Subscriber" means any natural or legal person who has created an account and accepted these terms.

"Service" means the Adjulo REST API, webhooks, data, documentation and any associated interface accessible via adjulo.ca and adjulo.io.

Use of the Service constitutes full acceptance of these terms. If you do not accept these terms, you must not use the Service.

Article 2 — API key and usage restrictions

2.1 Upon account creation, Adjulo issues a unique API key associated with the subscriber and their subscription plan.

2.2 — API key uniqueness: An API key is tied to a single subscriber and a single legal entity. Its use in an application deployed to third parties, or shared between entities, constitutes a violation of these terms resulting in immediate revocation without refund.

Strictly prohibited:

2.3 The subscriber is responsible for all use made with their API key. Any known or suspected compromise must be reported immediately to [email protected].

Article 3 — Subscription plans

Adjulo offers two plans (Professional, Enterprise) whose features, limitations and prices are described on adjulo.ca. Plans may be modified with 30 days' notice.

Rate limits are applied per plan and per API key. Overages are blocked; no automatic overcharging is applied without prior agreement.

Article 4 — SEAO data and licence

Data provided by the Service is sourced from the Système électronique d'appel d'offres (SEAO) of the Québec government, published on donneesquebec.ca under Creative Commons CC BY 4.0 licence.

Subscribers are authorized to use, copy, distribute and adapt this data provided they credit the source (SEAO / Québec open data) in accordance with the CC BY 4.0 licence terms.

Adjulo does not guarantee the completeness, accuracy or real-time update of the data. SEAO data is a third-party source beyond Adjulo's control.

Article 5 — Partner and reseller use

Any use of the Service aimed at providing, integrating or reselling Adjulo data to end clients — directly or through an application — requires either:

To discuss a partnership agreement, contact [email protected].

Article 6 — Billing

Billing for paid plans is handled by Stripe. By subscribing to a paid plan, the subscriber accepts Stripe's terms of use applicable to payments.

Subscriptions are billed monthly or annually according to the subscriber's choice. Payments are collected in Canadian dollars (CAD) at the start of the billing period.

No refund is granted for partial periods, except as required by law. In case of a billing dispute, the subscriber must contact Adjulo within 30 days of the contested charge.

Additional analyses (insightsASK)

A subscriber whose subscription is active may buy, from the portal, a pack of 20 insightsASK analyses at the displayed price, plus taxes. Purchases are reserved to the account owner and its administrators; they are charged to the subscription's payment method and are invoiced. The number of packs that can be bought per month may be limited.

The analyses in a pack are valid for 12 months from purchase. They are used after the analyses included in the plan for the month, starting with the pack that expires first. They cannot be transferred to another account or exchanged for money. An analysis that does not complete is not counted.

A pack with no analysis used is fully refundable upon request to support; a pack that has been started is not refundable. Remaining analyses stay usable until they expire as long as the account keeps a plan that includes insightsASK; otherwise they are forfeited.

Article 7 — Taxes (GST/QST)

Prices shown are exclusive of taxes. GST (5%) and QST (9.975%) apply to subscribers residing in Québec and are collected in accordance with Canadian and Québec tax laws.

Tax management is automated via Stripe Tax. The subscriber is responsible for tax compliance applicable to their professional use of the data.

Article 8 — Personal information (Law 25)

Adjulo collects only the information strictly necessary for the provision of the Service (email, first name, company name, billing data). This information is not sold or transferred to third parties.

In accordance with Law 25 on the Protection of Personal Information in the Private Sector (Québec), subscribers have rights of access, correction and deletion of their personal data by contacting [email protected].

Hosting and data location arrangements are covered in Article 9 below.

Article 9 — Data sovereignty

Subscriber and Service data — account data, working data (pipeline, end-to-end encrypted notes, watch lists), API usage data, application logs and data from public sources (SEAO, CanadaBuys) — is hosted on servers physically located in the province of Québec, Canada. Its backup copies also remain in Canada.

This anchoring is a founding commitment of Adjulo: as a sovereign public procurement intelligence solution, we consider that our subscribers' data must remain under Canadian jurisdiction, subject to Canadian federal and provincial laws, notably Law 25 (Québec).

Some third-party services required for the Service nevertheless process data outside Canada: payment processing, transactional email delivery, web traffic routing and protection, certain artificial intelligence features and, only if you consent, audience measurement of the public website. These providers are subject to their own privacy and data location policies.

Article 10 — Service levels (SLA)

Adjulo targets 99.5% availability per calendar month, excluding planned maintenance windows announced with reasonable notice.

Adjulo makes no contractual SLA commitment at the MVP stage. Formal service level commitments may be negotiated under an Enterprise agreement.

Real-time service status is available at statuts.adjulo.io.

Article 11 — Limitation of liability

The Service is provided "as is" without warranty of any kind, express or implied. Adjulo does not warrant that the Service will be error-free, uninterrupted or suitable for any particular purpose.

In no event shall Adjulo's liability exceed the total amount actually paid by the subscriber during the three (3) months preceding the event giving rise to liability.

Adjulo shall not be liable for indirect, consequential, incidental, special or punitive damages, including without limitation loss of revenue or business opportunities, even if Adjulo has been advised of the possibility of such damages.

Article 12 — Monitoring and revocation

Adjulo reserves the right to monitor Service usage patterns in order to detect abuse, violations of these terms or fraudulent activities.

In case of confirmed violation of Articles 2, 3 or 5, Adjulo may revoke the API key immediately and without notice or refund. The subscriber will be notified of the reason for revocation by email within 48 hours of the action.

The subscriber may contest a revocation by contacting [email protected] within 15 days of the notification.

Article 13 — Termination and account deletion by subscriber

The subscriber may terminate their subscription at any time from their Stripe management portal or by contacting [email protected]. Termination takes effect at the end of the current billing period; the account and its data are kept, and the subscriber may subscribe again.

The account holder may also request the account's deletion, from the Account page of the portal. The subscription then does not renew and access is maintained until the end of the paid period; the data is kept for 30 more days, then erased. The request may be cancelled until the erasure, from the portal or through the link in the confirmation email.

After the erasure, only accounting records (invoices) are kept, for six years, as tax laws require. Encrypted backups, renewed within twelve months at most, are never restored for a deleted account.

Article 14 — Termination by Adjulo

Adjulo may terminate any subscription with 30 days' notice without cause, or immediately in case of:

In case of termination without fault of the subscriber, Adjulo will refund the unused portion of the prepaid period on a pro-rata basis.

Article 15 — Governing law

These terms are governed by the laws of the province of Québec and applicable federal laws of Canada.

Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Québec City (Québec), subject to mandatory consumer protection rights.

Article 16 — General provisions

Entire agreement: These terms constitute the entire agreement between the subscriber and Adjulo regarding the Service.

Modifications: Adjulo reserves the right to modify these terms. Any material modification will be notified by email with 30 days' notice. Continued use of the Service after this period constitutes acceptance of the new terms.

Severability: If any provision of these terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Contact: For any question regarding these terms: [email protected] — Solutions technologiques Adjulo inc., CP 74, Succursale Haute-Ville, Québec, QC, G1R 4M8.
